Services Provided:

Strouse Digital agrees to provide digital marketing services, including but not limited to Google Optimization, social media management, content creation, and reputation management. The specific services to be provided will be detailed in an attached statement of work or proposal.

Term:

This Agreement will commence on the Effective Date and will continue on a month-to-month basis unless terminated by either party in accordance with the terms outlined in Section 5.

Fees and Payment:

Client agrees to pay Strouse Digital a monthly fee of [Fee Amount] for the Services. Payment will be charged to the card on file on the same date each month, corresponding to the Client’s initial sign-up date. Any payment not received within five (5) days of the due date will be considered late and may result in the suspension or termination of Strouse Digital’s services. Strouse Digital reserves the right to waive the late fee under certain circumstances at its discretion.

Cancellation:

Client may cancel Services at any time by providing notice to Strouse Digital at least one business day prior to the next billing date. Cancellations received less than one business day before the next billing date will take effect the following month.

Termination:

Strouse Digital reserves the right to terminate this Agreement at any time, with or without cause, by providing written notice to the Client. If Strouse Digital terminates the Agreement, a prorated refund for the remaining portion of the billing cycle will be provided.

Refund Policy:

All fees paid to Strouse Digital are non-refundable. If the Client cancels the Services, no refunds will be issued for any fees already paid.

Client Obligations:

Client agrees to provide all necessary access to information, resources, and cooperation as required by Strouse Digital to perform the Services effectively. Failure to do so may result in delays.

Confidentiality:

Both parties agree to keep confidential any proprietary information disclosed during the course of this Agreement. This obligation will survive the termination of this Agreement.

Limitation of Liability:

To the maximum extent permitted by law, Strouse Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from Client’s use of our Services.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Entire Agreement:

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations, whether oral or written.

Amendments:

Any amendments or modifications to this Agreement must be in writing and signed by both parties.
